The enterprise is rigorous when it comes to tracking trucks and pencils, but soft and open-ended with the critical trade secret and proprietary assets that are the lifeblood of the modern enterprise. Don't believe it? Just ask "Fred."
Fred discovers a process that will contribute to his company's competitive advantage. Nobody tells him that his discovery is a trade secret. Fred talks to peers about it, and sends it in e-mails. His company can't track the secret, measure its value or follow its development trail. There's no way to share it with another office that's working on a similar process, saving time or perhaps leading to improvements. When Fred leaves the company, during his exit interview there's the typical, very general, "you can't take our company's protected secrets" discussion. Then, when Fred goes to work for a competitor, as he's perfectly free to do, he shares his valuable know-how without any awareness of what is to come.
The lawyers take over. Poor Fred. Poor company.
